Terms and Conditions

Introduction

These Terms and Conditions ("Terms") govern your access to and use of the services provided by Argos Storage BV ("Argos," "we," "us," or "our"), including but not limited to petroleum, oil, and petrochemical storage, distribution, logistics services, and facility operations. By engaging our services or accessing our facilities, you agree to be bound by these Terms.

Definitions

• • "Services" refers to all storage, distribution, logistics, and related services provided by Argos Storage BV.
• • "Client" refers to any individual or organization engaging Argos services.
• • "Products" refers to petroleum, oil, petrochemicals, and related materials stored or handled at our facilities.
• • "Facilities" refers to Argos storage terminals, tank farms, loading stations, and related infrastructure.

Service Agreement

All services provided by Argos are subject to a formal service agreement or contract. The terms of such agreements take precedence over these general Terms and Conditions where applicable. Services may include:

• • Storage of petroleum products in above-ground and underground tanks
• • Inter-tank transfer and product blending operations
• • Loading and unloading services for road tankers, barges, ships, and rail
• • Real-time inventory tracking and monitoring
• • Distribution and logistics coordination

Client Responsibilities

Clients agree to:

• • Provide accurate product specifications, safety data sheets (SDS), and all required documentation
• • Ensure all products meet applicable quality standards and regulatory requirements
• • Maintain adequate insurance coverage for stored products
• • Pay all fees and charges as specified in the service agreement
• • Comply with all safety protocols and facility access regulations
• • Notify Argos immediately of any changes to product composition or hazard classifications

Safety and Regulatory Compliance

Argos maintains the highest safety standards in accordance with international regulations, including ISO 9001, ISO 14001, and OHSAS 18001. All facility operations are subject to:

• • Strict safety protocols and emergency response procedures
• • 24/7 facility monitoring and security systems
• • Regular safety audits and inspections
• • Environmental protection measures and containment systems
• • Compliance with local, national, and international energy sector regulations

Clients must comply with all safety requirements and facility rules. Violation of safety protocols may result in immediate termination of services.

Liability and Insurance

Argos maintains comprehensive insurance coverage for its operations. However:

• • Clients retain ownership and responsibility for their stored products
• • Argos is not liable for product quality deterioration due to inherent product characteristics
• • Liability for loss or damage is limited to the extent specified in the service agreement
• • Clients are responsible for maintaining adequate product liability insurance
• • Force majeure events, natural disasters, and unforeseeable circumstances exempt Argos from liability

Fees and Payment Terms

Service fees are determined based on:

• • Storage capacity and duration
• • Handling and transfer operations
• • Additional services requested (blending, testing, etc.)
• • Market rates and operational costs

Payment terms are specified in individual service agreements. Late payments may incur additional charges and interest as permitted by law. Argos reserves the right to suspend services for non-payment.

Termination of Services

Either party may terminate services according to the terms specified in the service agreement. Argos reserves the right to immediately terminate services if:

• • Client violates safety protocols or facility regulations
• • Payment obligations are not met
• • Products pose an unacceptable risk to facilities, personnel, or environment
• • Client engages in fraudulent or illegal activities

Upon termination, clients must arrange for product removal within the specified timeframe. Failure to do so may result in additional storage charges or disposal at client expense.

Intellectual Property

All operational procedures, monitoring systems, software, and proprietary technologies used by Argos remain the exclusive property of Argos Storage BV. Clients may not reproduce, distribute, or reverse-engineer any Argos systems or processes without written authorization.

Confidentiality

Both parties agree to maintain confidentiality of sensitive business information, product specifications, pricing, and operational details. Confidential information may only be disclosed:

• • As required by law or regulatory authorities
• • To authorized service providers under confidentiality agreements
• • With written consent from the disclosing party

Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, government actions, pandemics, or infrastructure failures. Services may be suspended during force majeure events without liability.

Dispute Resolution

Any disputes arising from these Terms or service agreements shall be resolved through:

• • Good faith negotiations between parties
• • Mediation by a mutually agreed neutral third party
• • Arbitration in accordance with the rules of the Netherlands Arbitration Institute

These Terms are governed by the laws of the Netherlands.

Amendments

Argos reserves the right to modify these Terms at any time. Material changes will be communicated to active clients with reasonable notice. Continued use of services after such modifications constitutes acceptance of the revised Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, such provision shall be modified to the minimum extent necessary to make it enforceable. The remaining provisions shall remain in full force and effect.
